Zekret – Terms & Conditions

These Terms & Conditions (“Terms”) govern your use of Zekret’s websites, newsletters, communications, testnet environments, beta programs, and related services operated by Zekret LLC and the Zekret Foundation (collectively, “Zekret,” “we,” “our,” or “us”).
By accessing our website, subscribing to our newsletter, or participating in our testnet/beta programs, you confirm that you have read, understood, and agree to these Terms.
1. Parties and Legal Entities
- Zekret LLC – A Delaware Limited Liability Company engaged in commercialization, product development, and node infrastructure operations.
- Zekret Foundation – A Delaware non-stock, non-profit corporation focused on public-good infrastructure, governance, and research.
2. Regulatory Alignment
Our infrastructure is designed to align with:
- European Union MiCA Regulation (EU) 2023/1114 – including provisions on crypto-asset service provider conduct, complaint handling, and marketing disclosures.
- FATF Recommendations – particularly Recommendation 15 and the Travel Rule for Virtual Asset Service Providers (VASPs).
- U.S. Federal and State Regulations – including FinCEN AML Program Rule, SEC/CFTC guidance, and OFAC sanctions enforcement.
- GDPR (EU 2016/679) and equivalent privacy laws worldwide.
Zekret is not a custodian of client funds, does not offer securities or derivatives to the public, and does not guarantee any future token issuance or financial return.
3. Eligibility
You may only access our services if you:
- Are 18+ years old or the legal age in your jurisdiction.
- Are not a citizen or resident of a restricted or sanctioned jurisdiction (including but not limited to North Korea, Iran, Syria, Cuba, Crimea, Donetsk, Luhansk).
- Are not listed on OFAC, EU Consolidated, UN, or UK sanctions lists.
- Are acting on your own behalf and not as an agent for an undisclosed party.
4. Website & Newsletter Use
- Consent: By subscribing to our newsletter or submitting your contact details, you consent to receive marketing and informational communications in accordance with GDPR Art. 6(1)(a) and U.S. CAN-SPAM requirements.
- Withdrawal: You may withdraw consent at any time via the unsubscribe link.
- Data Use: Subscriber data will be stored in secure servers, processed for communication purposes only, and retained for no longer than 36 months unless renewed consent is obtained.
5. Testnet / Beta Program Terms
- Purpose: The Zekret testnet and beta programs are for evaluation, research, and security testing only.
- No Monetary Value: Testnet tokens or credits have no fiat value and do not guarantee conversion to mainnet assets.
- Risk Assumption: Participation is at your own risk. Test environments may be unstable, and data may be lost or corrupted.
- Compliance: You must not use the testnet for prohibited transactions (AML breaches, sanctions violations, illicit activity).
- Security Research: Unauthorized penetration testing or exploitation without prior written approval is prohibited.
- Geofencing: Access to certain features may be restricted by IP, residency, or KYC status to comply with MiCA, FATF, or U.S. law.
6. Prohibited Uses
You must not:
- Engage in money laundering, terrorist financing, sanctions evasion, or market manipulation.
- Use Zekret services to promote or transact in unlicensed securities or financial products.
- Attempt to bypass compliance measures, identity verification, or geofencing controls.
7. Disclaimers & Risk Warnings
- Blockchain transactions are irreversible and may be subject to smart contract bugs, network congestion, or protocol changes.
- Regulatory changes may affect access to Zekret services without notice.
- We do not guarantee uninterrupted availability or defect-free operation of any service, including testnet environments.
8. Intellectual Property
- All content, branding, code, SDKs, APIs, and documentation are owned by or licensed to Zekret.
- You may use Zekret open-source components only under the terms of their respective licenses.
9. Liability & Indemnification
To the maximum extent permitted by law:
- Zekret disclaims all warranties, express or implied.
- Zekret shall not be liable for any indirect, incidental, or consequential damages.
- You agree to indemnify Zekret against claims arising from your misuse of our services or breach of these Terms.
10. Data Protection
- We process personal data in compliance with GDPR, including providing the rights of access, rectification, erasure, and portability.
- Data minimization and zero-knowledge cryptographic techniques are used to limit exposure of personal information.
- A separate Privacy Policy explains our data handling in detail.
11. Termination
- We may suspend or terminate your access immediately for breach of these Terms, suspected illicit activity, or legal/regulatory requirements.
12. Governing Law
- These Terms are governed by the laws of Delaware, USA, without regard to conflict-of-law rules.
- Disputes shall be resolved exclusively in Delaware courts.

Annex: Regulatory Disclaimers
- MiCA – Users acknowledge Zekret may require additional disclosures, whitepapers, and approvals before offering regulated crypto-assets or services in the EU.
- FATF Travel Rule – Where applicable, user transaction information may be securely transmitted to counterparties to meet FATF compliance requirements.
- U.S. Regulatory Position – Zekret’s services are not an offer of securities under the Securities Act of 1933 or CFTC-regulated derivatives.
- GDPR – Users have full data subject rights as outlined in our Privacy Policy.
